This California Privacy Notice (“California Notice”) supplements the Privacy Policy of R3 Lithium, Inc. (“Company,” “we,” “us,” or “our”) and applies to personal information about California residents that is subject to the California Consumer Privacy Act, as amended by the California Privacy Rights Act (collectively, the “CCPA”).

This California Notice explains the categories of personal information we collect, the purposes for which we use that information, the circumstances in which we disclose it, and the rights available to California residents under the CCPA.

Terms defined in the CCPA have the same meanings when used in this California Notice.

Depending on your relationship and interactions with us, we may collect the following categories of personal information:

• detecting and preventing fraud, security incidents, and unlawful activity;

We do not collect additional categories of personal information or use personal information for materially different, unrelated, or incompatible purposes without providing any notice required by applicable law.

4. Disclosure of Personal Information

We may disclose personal information for business purposes to categories of recipients including:

• service providers and contractors;

• information technology, hosting, cybersecurity, and data-management providers;

• professional advisers, including attorneys, accountants, auditors, consultants, and insurers;

• financial institutions and payment providers;

• customers, suppliers, and other business partners where appropriate;

• analytics, advertising, and marketing providers;

• governmental authorities, regulators, law enforcement, courts, and other parties where disclosure is required or permitted by law; and

• actual or prospective purchasers, investors, lenders, financing sources, or other parties involved in a merger, acquisition, financing, restructuring, sale of assets, bankruptcy, or similar corporate transaction.

We may also disclose information at your direction or with your consent.

5. Sale and Sharing of Personal Information

We do not sell personal information for monetary consideration.

Certain online advertising, analytics, or tracking activities, however, may constitute a “sale” or “sharing” of personal information under the CCPA even where no money is exchanged.

Depending on the technologies used on our website, the categories of personal information that may be sold or shared for cross-context behavioral advertising may include:

• identifiers, such as online or device identifiers;

• internet or other electronic network activity information; and

• inferences derived from such activity.

The recipients may include advertising networks, analytics providers, social media platforms, and similar technology providers.

California residents have the right to opt out of the sale or sharing of their personal information as described below.

We do not have actual knowledge that we sell or share the personal information of consumers under 16 years of age. Our Site is not intended for use by persons under 16 years of age.

6. Retention of Personal Information

We retain personal information for no longer than reasonably necessary for the purposes for which it was collected or processed, taking into account factors such as the nature and sensitivity of the information, our business and operational requirements, applicable legal and regulatory requirements, contractual obligations, statutes of limitation, security considerations, and the purposes described in this California Notice.

Retention periods therefore vary depending upon the category of information and the circumstances in which it was collected.

7. California Privacy Rights

Subject to applicable exceptions and limitations, California residents may have the:

Right to Know. Request information regarding the personal information we have collected about you, including the categories and specific pieces of personal information collected, categories of sources, purposes for collecting, selling, or sharing the information, and categories of third parties to whom we disclose personal information.

Right to Delete. Request deletion of personal information we have collected from you, subject to applicable exceptions.

Right to Correct. Request correction of inaccurate personal information we maintain about you.

Right to Opt Out of Sale or Sharing. Direct us not to sell or share your personal information.

Right to Limit Use and Disclosure of Sensitive Personal Information. Where applicable, direct us to limit certain uses and disclosures of sensitive personal information as provided by the CCPA.

Right to Non-Discrimination. Exercise your CCPA rights without receiving unlawful discriminatory treatment.

8. Exercising Your Rights

You may submit a request to exercise applicable California privacy rights through one or more of the following methods:

• Opt Out of Sale/Sharing: Select “Your Privacy Choices” or “Do Not Sell or Share My Personal Information” on our website.

We may need to verify your identity before completing certain requests. Verification may require us to request information reasonably necessary to confirm that you are the person about whom we collected the personal information.

We will use personal information submitted in connection with a privacy request for verification and compliance purposes.

9. Authorized Agents

You may designate an authorized agent to submit a CCPA request on your behalf. We may require the agent to provide evidence of authorization and may, where permitted by law, require you to verify your identity directly with us or confirm that you authorized the agent to submit the request.

10. Opt Out Preference Signals

Where required by the CCPA, we process recognized opt-out preference signals, such as the Global Privacy Control (“GPC”), as a request to opt out of the sale or sharing of personal information for the browser or device transmitting the signal.

Where we can reasonably associate the signal with a known consumer profile or account, we will apply the request as required by applicable law.

You may also exercise your opt-out rights through the Your Privacy Choices link on our website.

11. Sensitive Personal Information

We use and disclose sensitive personal information only for purposes permitted under the CCPA and its implementing regulations, including purposes reasonably necessary to provide requested goods or services, maintain security, prevent fraud, comply with law, and administer our workforce.

Because we do not use or disclose sensitive personal information for purposes that give rise to a right to limit under the CCPA, we do not provide a separate “Limit the Use of My Sensitive Personal Information” mechanism.

12. Cookies and Tracking Technologies

We use cookies and similar technologies as described in our Cookies and Tracking Technologies Notice.

Certain uses of advertising or tracking technologies may constitute “sharing” or “sale” under California law. California residents may exercise applicable opt-out rights through our Your Privacy Choices link or by using a recognized opt-out preference signal.

13. Employment and Applicant Information

If you are a California employee, former employee, job applicant, independent contractor, director, officer, or other individual whose personal information we process in an employment or workforce context, additional disclosures may apply.

14. Changes to This California Notice

We may update this California Notice from time to time to reflect changes in our practices or applicable law. We will post the revised California Notice and update the “Last Updated” date above. We will provide any additional notice required by applicable law.
